Shareholder Meeting to Discuss Lionsgate Studios/Starz Separation Slated for April 23
March 12, 2025
Lions Gate Entertainment Corp. and Lionsgate Studios Corp. March 12 announced that the annual general and special meeting of shareholders to discuss the proposed separation of Lionsgate’s studio and Starz businesses is expected to be held on April 23.
Lionsgate is spinning off the Starz business in an effort to increase the multiplatform distributor’s value to Wall Street, Lionsgate CEO Jon Feltheimer told analysts on a fiscal call in January 2024.
“It will be a great standalone channel,” Feltheimer said. “It will probably bulk up if we were to separate the business [from Lionsgate]. So, one way or the other, someone is going to take advantage of the value that they’ve created at Starz.”
Shareholders of record on March 12, 2025, will be eligible to receive notice of, and to vote at the meeting.
At the meeting, shareholders will be asked to consider certain proposals involving Lionsgate, Lionsgate Studios, LG Sirius Holdings ULC and Lionsgate Studios Holding Corp. under the Business Corporations Act of British Columbia, details of which are set out in the joint proxy statement/prospectus that is included in the registration on Form S-4, as amended that has been filed with the Securities and Exchange Commission and is available on the SEC’s website (http://www.sec.gov).
